These Terms and Conditions ("Terms") govern your access to and use of learnsurplus.com and the content, webinars, communications, and other services made available through it (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and able to enter into a legally binding agreement to use the Services. By using the Services, you represent that you meet these requirements.
2. Educational purpose only
The Services provide general educational and informational material about surplus funds and related business activities. Nothing in the Services is legal, tax, financial, investment, or accounting advice, and no professional or fiduciary relationship is created. Laws and procedures differ by jurisdiction and change over time. You are responsible for obtaining advice from qualified professionals and verifying the rules that apply to you.
3. No earnings guarantee
We do not promise or guarantee that you will earn money or achieve any particular result. Business activities involve risk, expense, effort, and uncertainty. 4. Your responsibilities
You agree that you will:
- Provide accurate information and keep your contact information current.
- Use the Services only for lawful purposes.
- Independently investigate applicable laws, licensing rules, contracts, claims procedures, advertising requirements, and professional obligations.
- Obtain any licenses, authorizations, disclosures, or professional assistance required for your activities.
- Not misrepresent your identity, qualifications, affiliation, or likely results.
5. Intellectual property
The Services and their content—including text, videos, graphics, branding, training materials, and site design—are owned by or licensed to us and are protected by intellectual-property laws. We grant you a limited, revocable, nonexclusive, nontransferable right to access the Services for your personal, noncommercial use. You may not copy, sell, publish, distribute, record, create derivative works from, or commercially exploit the Services without our prior written permission.
6. Prohibited conduct
You may not interfere with the operation or security of the Services; introduce malicious code; scrape or harvest data without permission; attempt unauthorized access; impersonate another person; infringe another party's rights; or use the Services in a fraudulent, deceptive, abusive, or unlawful manner.
7. Third-party services and links
The Services may rely on or link to third-party websites, platforms, and tools. We do not control and are not responsible for their availability, content, security, or practices. Your use of a third-party service is governed by that provider's terms and policies.
8. Disclaimer of warranties
To the fullest extent permitted by law, the Services are provided "as is" and "as available." We disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and uninterrupted or error-free operation. We do not warrant that information will be current, complete, or suitable for your circumstances.
9. Limitation of liability
To the fullest extent permitted by law, Learn Surplus and its owners, officers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, business interruption, or decisions made in reliance on the Services. Where liability cannot be excluded, our total liability arising from the free Services will not exceed $100. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
10. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Learn Surplus and its owners, officers, employees, contractors, affiliates, and agents from claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, violation of these Terms, or violation of another party's rights.
11. Changes and termination
We may modify, suspend, or discontinue any part of the Services. We may also update these Terms by posting a revised version with a new effective date. Your continued use after an update means you accept the revised Terms. We may restrict access if we reasonably believe you have violated these Terms or created risk for us or others.
12. General terms
These Terms and our Privacy Policy constitute the entire agreement concerning the free Services. If a provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, transfer, or sale of the business. Applicable law and any mandatory consumer protections in your jurisdiction will govern.
